Agreement to These Terms

These Terms of Use ("Terms") are a binding agreement between you and Wiseren, LLC. ("Wiseren," "we," "us," or "our") governing your access to and use of wiseren.com and the Wiseren workshop service (together, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

What Wiseren Provides

Wiseren provides a live video workshop in which an artificial intelligence advisor discusses your business with you, records observations on a visual board during the conversation, and produces a written plan at the end of the session.

The plan is generated automatically from the conversation. It reflects information you provide and the AI advisor's processing of that information. It is not reviewed, verified, or approved by a person before it reaches you.

Availability and Changes

The Services may change over time. Features may be added, modified, or removed. The Services may be unavailable from time to time for maintenance or for reasons outside our control.

We may modify, suspend, limit, or discontinue the Services, in whole or in part, at any time and without liability to you.

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. If you use the Services on behalf of an entity, you represent that you are authorized to bind that entity, and "you" refers to that entity.

Access and Account Security

When you purchase a session you receive a personal access link. That link is for your use only and may not be transferred, resold, or shared. It is valid for 7 days from the time of purchase.

You are responsible for maintaining the confidentiality of your access link and any credentials, and for all activity that occurs under your access. Notify us promptly at info@wiseren.com of any unauthorized use.

Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms;
• Provide false, misleading, or fraudulent information;
• Disclose information during a session that you are not authorized to disclose, including confidential information belonging to a third party;
• Attempt to gain unauthorized access to the Services, other users' accounts, or our systems;
• Interfere with, disrupt, overburden, or impair the Services;
• Reverse engineer, decompile, or attempt to derive the source code or underlying models of the Services;
• Use the Services to develop, train, or improve a competing product or service;
• Use automated means to access the Services except as we expressly permit;
• Resell, sublicense, or commercially exploit the Services or their output except as permitted in Section 9.

Session Transcripts

Sessions are not recorded. We do not record or store audio or video files of workshop sessions.

Speech during a session is converted to text in real time. By joining a session you agree to that processing and to the storage of the resulting transcript, the content recorded on the session board, and the plan produced from the session, as described in our Privacy Policy. The plan may quote you directly.

If other people join a session with you, you are responsible for informing them that speech will be converted to text and stored before the session begins.

If you do not agree to this, do not join a session.

AI-Generated Content and Its Limits

The advisor, the session board, and the plan are produced by artificial intelligence systems, including systems operated by third-party AI providers.

You acknowledge that:

• AI-generated output may be inaccurate, incomplete, outdated, internally inconsistent, or wrong;
• The output reflects the information available during the session, which is limited to what you disclose and may itself be inaccurate;
• Similar inputs may produce different outputs;
• The output is not verified against external sources, and no person reviews it before delivery;
• You are solely responsible for evaluating the output and for any decision you make based on it.

You should independently verify any statement of fact and exercise your own judgment before acting.

No Professional Advice

The Services do not provide professional advice of any kind. Nothing in a session, on the board, or in a plan constitutes legal, financial, investment, accounting, tax, or other professional advice, and no professional relationship is created by your use of the Services.

Wiseren is not a licensed investment adviser, financial planner, attorney, or accountant. You should consult a qualified professional before making decisions with legal, financial, or regulatory consequences.

Your Content

You retain all rights you hold in the information you provide to us, including what you say during a session ("Your Content").

You grant Wiseren a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, reproduce, and create derivative works from Your Content solely to operate and improve the Services and to produce your plan. This license ends when Your Content is deleted, except to the extent it has been incorporated into aggregated or de-identified data or where retention is required by law.

You represent that you have the rights necessary to provide Your Content and that it does not violate any law or third-party right.

The plan produced from your session is yours to use for your own business purposes.

Our Intellectual Property

The Services, including all software, interfaces, designs, text, graphics, and trademarks, are owned by Wiseren or its licensors and are protected by intellectual property laws. Except for the rights expressly granted in these Terms, we grant you no rights in the Services.

We may use feedback and suggestions you provide without restriction or obligation to you.

Fees and Refunds

A session costs $49 USD. Payment is taken at checkout and is processed by a third-party payment processor. We do not receive or store your full payment card details.

Your access link is valid for 7 days from the time of purchase. If it expires before you have used it, you can request a new one at no charge. If you would prefer a refund instead, email us at info@wiseren.com.

If the plan produced by your session is not useful to you, email us at info@wiseren.com within 48 hours of your session and we will refund the amount you paid in full. No form and no explanation are required.

Prices are exclusive of any taxes that may apply, which may be added at checkout. We may change our prices at any time. The price shown at the time of your purchase is the price that applies to that purchase.

Third-Party Services

The Services rely on third-party providers, including artificial intelligence, video infrastructure, and hosting providers. We are not responsible for the acts, omissions, availability, or performance of third-party services, and their terms may apply to your use of the Services.

Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice, including if we believe you have violated these Terms.

You may stop using the Services at any time. You may request deletion of your information as described in our Privacy Policy.

Sections 8 through 11 and 15 through 19 survive termination.

Disclaimer of Warranties

THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISEREN DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, WISEREN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT ANY OUTPUT WILL BE ACCURATE, COMPLETE, OR RELIABLE, OR THAT USE OF THE SERVICES WILL PRODUCE ANY PARTICULAR RESULT, INCLUDING ANY BUSINESS, COMMERCIAL, OR FINANCIAL OUTCOME.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISEREN AND ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL WISEREN'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Wiseren and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Services, Your Content, your violation of these Terms, or your violation of any law or third-party right.

Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in the State of California, and you consent to the personal jurisdiction of those courts.

If you are a consumer resident in the European Economic Area or the United Kingdom, nothing in this Section deprives you of the protection of mandatory provisions of the law of your country of residence, or of your right to bring proceedings in the courts of that country.

Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Services after the effective date constitutes acceptance.

General

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Wiseren regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them freely.
